General Terms and Conditions (English)
1.
Scope
Any
quotations, deliveries and services provided by IKM are exclusively based on the
following General Terms and Conditions, which form an integral part of the
order. Any contradicting or deviating provisions of the Principal shall be
disowned by IKM unless explicitly approved of by IKM in writing. These Terms and
Conditions shall also apply in cases where IKM renders services for the
Principal without reservations upon full knowledge of contradicting or deviating
provisions of the Principal. The present General Terms and Conditions shall also
apply to all future business activities with the Principal.
2. Scope
and Execution of Orders
As for
content and scope of contractual obligations the written order shall prevail.
Any deviating or supplementing agreements shall only be binding upon written
confirmation by IKM.
3. Contribution of the Principal
(1) The Principal undertakes to contribute to the extent necessary to the due execution of the order, especially the timely and complete submission of product samples and transmission of all required information.
(2) In case the Principal fails to fulfill his obligations pursuant to paragraph 1 above or is otherwise in default of acceptance, IKM shall be entitled to request damages for any loss or additional expenditure incurred. After a futile expiry of an appropriate grace period under threat of termination, IKM is entitled to terminate the Agreement. Any other claims shall be reserved.
4. Termination
(1) The Principal is entitled to terminate the Agreement anytime without stipulation of causes. In case a sufficient number of respondents as required by the Principal cannot be identified or recruited for interviews within a reasonable period of time and despite reasonable effort, each Party shall be entitled to terminate the Agreement.
(2) In case of termination pursuant to paragraph 1 sentence 1 above, IKM shall be entitled to require payment of the following share of the agreed remuneration as well as compensation for any expenses incurred subject to the length of period between receipt of the termination notice and the first agreed interview appointment:
More than
15 business days: 25%
11 to 15 business days: 50%
6 to 10 business days: 75%
5 business days or less: 100%.
(3) In case of termination pursuant to paragraph 1 sentence 2 above, IKM shall be entitled to half of the agreed compensation as well as reimbursement of any expenses incurred by the time of termination. Any other claims of the Parties shall be excluded.
5. Compensation
(1) The agreed compensation is exclusive of statutory VAT as applicable on the day of invoicing. Travel expenses (flight: Business Class, Railroad: 1st Class), VAT and any other expenditure and expenses shall be payable in addition.
(2) Half of the agreed compensation is due for payment upon placing of the order; the remainder is due for payment within 15 days upon the invoice date.
(3) In case the payment period is exceeded interest as common in bank practice shall be charged irrespective of any other claims at least amounting to 8 percentage points above the applicable base lending rate.
(4) The Principal shall only be entitled to withhold payments or offset them with counterclaims to the extent that these counterclaims are undisputed or final and binding. The Principal shall only be entitled to execute his right to withhold payments to the extent that his counterclaim results from the same contractual relationship as the claim for payment on the part of IKM.
6. Warranties
(1) IKM shall execute the research as stipulated in the order with all due diligence and analyze the data collected. IKM shall not assume any liability for the achievement or marketability of research results or targets.
(2) In case of any defect IKM shall be entitled to employ improvement. In case improvement fails, the Principal shall be entitled to withdraw or to require a reduction in compensation. Any other claims shall be excluded with the exception of provisions pursuant to Section 7 paragraph 1.
7. Liabilities
(1) IKM shall be liable for loss or damage irrespective of its legal cause including breach of duties of employees, representatives or agents only in case of intent, gross negligence, culpable violation of life, limb, health or contractual duties, and in case of fraudulently undisclosed defects, whose absence had been guaranteed. In case of damage or loss arising from culpable breach of contractual obligations IKM shall only be liable for the foreseeable loss or damage usually occurring not to exceed the total amount of the agreed remuneration. Otherwise, liability for loss or damage irrespective of kind, including direct and indirect consequential damages shall be excluded unless otherwise stipulated in the present provisions. The above sentences 1 and 2 shall apply accordingly in case of any claims lodged by the Principal for reimbursement of expenses incurred.
(2) The Principal may only withdraw from the Agreement under the statutory provisions if IKM is responsible for the breach of obligation causing the withdrawal, unless otherwise stipulated in the present provisions.
8.
Participation of Third Parties
IKM is
entitled to commission competent staff members and third parties in execution of
orders.
9.
Limitation
Warranty
claims of the Principal that are due to defective execution of an order as well
as any claims resulting from legal causes become statute-barred after 12 months
upon commencement of the statutory limitation period. In case of any claims
resulting from intentional or fraudulent behavior, violation of life, limb and
health the statutory limitation periods shall apply.
10. Confidentiality, Privacy
(1) IKM undertakes to keep any information disclosed to IKM in relation to the placing and execution of an order confidential towards any third party, unless the disclosure of information is necessary for the execution of such order, or to protect the interests of IKM, or the Principal dispenses IKM from this obligation. Statutory rights to demand information shall remain unaffected.
(2) The reproduction, proliferation, change, presentation in public or public granting of access to audio, visual and film material, other information or outcome of business activities generated by IKM within the scope of the order shall only be permissible with the prior written consent of IKM. The same shall apply to any disposal going beyond the mere analysis of the above material and information. In case IKM is taken recourse to due to any infringement of personal rights or other third-party property rights, the Principal shall exempt IKM from any cost incurred, provided an infringement of obligations as stipulated in sentence 1 has been a concurrent cause in the recourse to IKM.
11. Legal Venue, Applicable Law
(1) Any business transactions between the Principal and IKM shall be governed by the laws of the Federal Republic of Germany, especially the German Data Protection Act.
(2) Legal venue for any current and future claims relative to business relations shall be Munich/Germany. The same shall apply in cases where the Principal has no common legal venue in Germany, moves his place of residence (seat) or customary place of abode abroad after the contract is closed or in cases where his residence (seat) or customary place of abode is not known at the time legal action is taken.
(3) In case of any discrepancies between this English translation and the original German version of the present General Terms and Conditions the German text shall prevail.

Allgemeine Geschäftsbedingungen (German)

Geltungsbereich
Allen
Angeboten, Lieferungen und Leistungen von IKM liegen ausschließlich die
nachfolgenden Geschäftsbedingungen zugrunde und sind Bestandteil des Auftrags;
entgegenstehende oder von diesen Bedingungen abweichende Bedingungen des
Auftraggebers erkennt IKM nicht an, es sei denn, IKM hätte ausdrücklich
schriftlich ihrer Geltung zugestimmt. Diese Bedingungen gelten auch dann, wenn
IKM in Kenntnis entgegenstehender oder abweichender Bedingungen des
Auftraggebers Leistungen für den Auftraggeber vorbehaltlos erbringt. Diese
Bedingungen gelten auch für alle künftigen Geschäfte mit dem Auftraggeber.
2. Umfang
und Ausführung des Auftrags
Für
Inhalt und Umfang der vertraglichen Pflichten ist der schriftlich erteilte
Auftrag maßgebend. Hiervon abweichende oder diesen ergänzende Absprachen binden
IKM erst nach schriftlicher Bestätigung.
3. Mitwirkung des Auftraggebers
(1) Der Auftraggeber ist zur Mitwirkung verpflichtet, soweit es zur ordnungsgemäßen Erledigung des Auftrags erforderlich ist, insbesondere zur rechtzeitigen und vollständigen Übergabe von Produktmustern sowie Übermittlung von erforderlichen Informationen.
(2) Verletzt der Auftraggeber seine Pflicht gemäß vorstehendem Absatz 1 oder kommt sonst in Annahmeverzug, ist IKM berechtigt, den ihr insoweit entstehenden Schaden, sowie etwaige Mehraufwendungen ersetzt zu verlangen. Nach Setzung und fruchtlosen Verstreichen einer angemessenen Frist mit Kündigungsandrohung ist IKM berechtigt, den Vertrag zu kündigen. Weitergehende Ansprüche bleiben vorbehalten.
4.
Kündigung
(1)
Der Auftraggeber ist berechtigt, den Auftrag ohne Angabe von Gründen jederzeit
durch Kündigung zu beenden. Können innerhalb angemessener Frist und trotz
zumutbarem Aufwand die vom Auftraggeber bezeichneten Interviewpersonen nicht in
ausreichender Anzahl ermittelt werden oder für ein Interview zur Verfügung
gestellt werden, ist jede der Vertragsparteien berechtigt, sich durch Kündigung
vom Vertrag zu lösen.
(2)
Im Falle der Kündigung gemäß vorstehendem Absatz 1 Satz 1 ist IKM berechtigt, in
Abhängigkeit der Länge des Zeitraumes zwischen Zugang der Kündigung bei IKM und
dem ersten vereinbarten Interviewtermin von der vereinbarten Vergütung folgenden
Anteil sowie den Ausgleich bereits entstandener Aufwendungen zu verlangen:
25% bei mehr als 15 Werktagen
50% bei 11 bis 15 Werktagen
75% bei 6 bis 10 Werktagen
100% bei 5 oder weniger Werktagen.
(3) Im Falle der Kündigung gemäß vorstehendem Absatz 1 Satz 2 ist IKM die Hälfte des vereinbarten Honorars sowie im Zeitpunkt der Kündigung bereits entstandene Aufwendungen zu erstatten. Weitergehende Rechte der Vertragsparteien sind ausgeschlossen.
5. Vergütung
(1) Das vereinbarte Honorar versteht sich zuzüglich gesetzlicher Umsatzsteuer in der jeweils am Tag der Rechnungsstellung gesetzlich maßgeblichen Höhe. Reisekosten (Flug: Business Class, Bahn: 1. Klasse) sowie sonstige Aufwendungen und Auslagen sind gesondert zu vergüten.
(2) Von dem vereinbarten Honorar ist die Hälfte bei Auftragserteilung, der Rest binnen 15 Tagen ab Rechnungsdatum zur Zahlung fällig.
(3) Bei Überschreitung des Zahlungszieles werden unbeschadet weitergehender Rechte bankübliche Zinsen, mindestens jedoch Zinsen in Höhe von acht Prozentpunkten über dem jeweiligen Basiszinsatz berechnet.
(4) Das Recht, Zahlungen zurückzuhalten oder mit Gegenansprüchen aufzurechnen, steht dem Auftraggeber nur insoweit zu, als seine Gegenansprüche unbestritten oder rechtskräftig festgestellt sind. Der Auftraggeber ist zur Ausübung seines Zurückbehaltungsrechts nur insoweit befugt, als sein Gegenanspruch auf dem gleichen Vertragsverhältnis wie der Zahlungsanspruch von IKM beruht.
6. Gewährleistung
(1) IKM wird die in Auftrag gegebene Untersuchung mit der erforderlichen Sorgfalt ausführen und die gewonnenen Daten auswerten, übernimmt jedoch keine Gewährleistung für das Erreichen und die Verwertbarkeit bestimmter Untersuchungsergebnisse oder Forschungsziele.
(2) Bei Vorliegen eines Mangels ist IKM zur Nachbesserung berechtigt. Schlägt die Nachbesserung fehl, so ist der Auftraggeber zum Rücktritt oder zur Minderung der Vergütung berechtigt. Weitere Ansprüche sind, vorbehaltlich den Bestimmungen gemäß Ziffer 7 Abs. 1, ausgeschlossen.
7. Haftung
(1) Für Schäden gleich welcher Art haftet IKM, aus welchem Rechtsgrund auch immer, auch für Pflichtverletzungen von Angestellten, Vertretern und Erfüllungsgehilfen, nur bei Vorsatz, grober Fahrlässigkeit, bei schuldhafter Verletzung von Leben Köper, Gesundheit sowie vertragswesentlicher Pflichten, bei arglistig verschwiegenen sowie bei Mängeln, deren Abwesenheit garantiert wurde. Für Schäden aus schuldhafter Verletzung vertragswesentlicher Pflichten haftet IKM in jedem Fall nur für den vorhersehbaren, typischerweise eintretenden Schaden, beschränkt auf die Gesamthöhe des jeweils vereinbarten Honorars. Im übrigen ist die Haftung für Schäden gleich welcher Art, incl. mittelbarer und unmittelbarer Folgeschäden, ausgeschlossen, sofern sich aus diesen Bedingungen nicht ein anderes ergibt. Vorstehende Sätze 1 und 2 gelten entsprechend für einen etwaigen Aufwendungsersatzanspruch des Bestellers.
(2) Der Besteller kann vom Vertrag im Rahmen der gesetzlichen Bestimmungen nur zurücktreten, wenn IKM die zum Rücktritt berechtigende Pflichtverletzung zu vertreten hat, es sei denn aus diesen Bestimmungen ergibt sich ein anderes.
8.
Mitwirkung Dritter
IKM ist
berechtigt, zur Ausführung des Auftrags Mitarbeiter und fachkundige Dritte
heranzuziehen.
9.
Verjährung
Gewährleistungsansprüche des Auftraggebers aufgrund mangelhafter Ausführung des
Auftrages sowie Ansprüche aus sonstigen Rechtsgründen verjähren in 12 Monaten ab
dem gesetzlichen Verjährungsbeginn. Bei Ansprüchen aus vorsätzlichem oder
arglistigem Verhalten, wegen Verletzung von Leben, Körper und Gesundheit gelten
die gesetzlichen Fristen.
10. Verschwiegenheit, Datenschutz
(1) IKM wird über alle Tatsachen, die ihr im Zusammenhang mit der Erteilung und Ausführung des Auftrags bekannt werden, Dritten gegenüber Stillschweigen bewahren, es sei denn, die Bekanntgabe von Tatsachen ist zur Durchführung des Auftrages oder zur Wahrung berechtigter Interessen von IKM erforderlich oder der Auftraggeber entbindet IKM von dieser Verpflichtung. Gesetzliche Auskunftsrechte bleiben unberührt.
(2) Die Vervielfältigung, Verbreitung, Veränderung, die öffentliche Vorführung oder das öffentliche Zugänglichmachen des von IKM im Rahmen des Auftrags dem Auftraggeber überlassenen Ton-, Bild- und Filmmaterials, sonstiger Informationen oder Arbeitsergebnisse ist nur mit vorheriger schriftlicher Einwilligung von IKM zulässig; entsprechendes gilt für jede über die bloße Auswertung des vorgenannten Materials und Informationen hinausgehende Verwendung. Wird IKM aufgrund der Verletzung von Persönlichkeits- oder sonstigen Schutzrechten von Dritten in Anspruch genommen, so wird der Besteller, soweit eine Verletzung der in Satz 1 genannten Pflichten für die Inanspruchnahme von IKM zumindest mitursächlich ist, IKM von den hieraus entstehenden Kosten freistellen.
11. Gerichtsstand, anwendbares Recht
(1) Für sämtliche Geschäftsbeziehungen zwischen dem Auftraggeber und IKM gilt das Recht der Bundesrepublik Deutschland, insbesondere das deutsche Datenschutzgesetz.
(2) Gerichtsstand für sämtliche gegenwärtigen und künftigen Ansprüche aus der Geschäftsverbindung ist München. Das gleiche gilt, wenn der Auftraggeber keinen allgemeinen Gerichtsstand im Inland hat, nach Vertragsschluß seinen Wohnsitz (Sitz) oder gewöhnlichen Aufenthalt aus dem Inland verlegt oder sein Wohnsitz (Sitz) oder gewöhnlicher Aufenthalt zum Zeitpunkt der Klageerhebung nicht bekannt ist.

After several years in consultancy and marketing research Ilka Kuhagen founded IKM in 1994.
She graduated from the Ludwig-Maximilian-University, Munich, in Business Administration, having focussed on marketing and psychology. She began her career 1982 within the Roland Berger business-consulting group, Roland Berger Forschungs-Institut, as project assistant and from 1983 on as project manager.
In 1987 Ilka Kuhagen moved on to UBM International Industrial Research. For UBM she worked as Senior Project Manager and became head of the IT and International Studies department.
In 1994 she founded IKM and has specialized on qualitative research within business-to-business and international research. Since then she has conducted more than 1000 focus groups and in-depth-interviews as part of the almost 200 studies she has been assigned. Being bilingual in English and German, and fluent in French and Spanish she is a truly international researcher. By contracting to native speaking moderators in other European countries and summarizing results in English she frequently extends this international dimension.
Since 1983 Ilka Kuhagen lectures on Marketing at VHS Munich. For BIG Firmenseminare she coaches employees of German corporations in marketing, communication and time management.
Ilka Kuhagen is a member of the Qualitative Research Consultants Association (QRCA) and of the German Association of Market and Social Researchers (BVM).

Since its foundation in 2002 Ilka Kuhagen is chair of the QRCA's Virtual Chapter and she is active in the Committee for Qualitative Market and Social Research within the BVM, the German researchers’ association.
Ilka Kuhagen has been a speaker at the yearly QRCA conference in Toronto in 2002 on ‘Partnering and Moderating in a Foreign Language Market’ and 2003 in Lisbon at the AQR/QRCA on ‘Cooperation with a Bavarian High School in order to assess changes and improve the quality of education’. She was Speaker Co-Chair for the QRCA conference in Phoenix 2004 and conference Co-Chair for the 2006-conference..
She evaluates public schools for the “Bavarian Educational Pact” (Bildunsgpakt Bayern) and gained experiences in the management model of the European Foundation for Quality Management (EFQM). Further she gained extensive knowledge in Neuro Linguistic Programming (NLP) in specific training courses throughout her career.
Ilka Kuhagen has published in Views (Spring03 Edition) and other publications and is engaged in the fundraising sector for non-profit organisations (em-faktor.de - German). She consults the hospice society in Kirchheim/Munich and has been a board member of the State's Parental Association for many years.
